By creating an account or using OriginRound, you agree to these Terms of Service. If you do not agree, please do not use the platform.
OriginRound operates strictly as a B2B SaaS platform, acting as a third-party "software application" and "service provider." We provide software infrastructure for digital asset management, license delivery, and checkout automation.
We are not a payment facilitator (PayFac), a marketplace, or a Stripe Connect platform. When a Buyer purchases a deal, the financial transaction occurs directly between the Buyer and the Partner (Seller). The Partner is the sole Merchant of Record (MoR) for all transactions.
OriginRound provides the "zero-touch" technology that makes this possible. We act purely as an automation bridge and are not a party to the transaction. We do not route, split, hold, touch, or process funds on behalf of either party at any point.
All payments flow 100% directly from the Buyer to the Partner's standard Stripe account. OriginRound does not handle billing or hold funds for deals.
You must be at least 18 years old to create an account and make purchases on this platform. This is required by our payment infrastructure and applicable law. By registering, you confirm that you meet this requirement.
You are responsible for maintaining the security of your account credentials. OriginRound operates on a zero-trust architecture. Any actions taken under your account are your responsibility.
Partners are individuals or businesses who list and sell digital products using our infrastructure. As a Partner, you are the Merchant of Record (MoR). You agree to:
To utilise our automation bridge, Partners must connect their Stripe account using Restricted API Keys (stored securely using AES-256 encryption at rest).
By providing OriginRound with your Restricted API Keys, you formally acknowledge the risk of sharing these keys with a third-party service provider. You explicitly grant OriginRound permission to use these keys to execute programmatic actions on your behalf, and you accept full and absolute responsibility and liability for all automated actions (including creating checkouts, subscriptions, and product IDs) that our software executes within your Stripe account.
OriginRound relies entirely on the verification and compliance standards enforced by Stripe. To use the platform, Partners must maintain an active Stripe account in good standing. If your Stripe account is suspended, restricted, or closed for fraud or compliance violations, your OriginRound Partner account and active listings will be automatically and immediately suspended.
Buyers acknowledge that they are purchasing directly from the Partner, not from OriginRound. OriginRound does not assume responsibility for product quality, delivery disputes, or refund decisions.
Your purchase agreement is solely between you and the Partner. OriginRound provides the technical infrastructure to verify and fulfil the transaction but is not a party to it.
Upon a successful payment verified by our system, the platform automatically grants the Buyer access to the associated digital asset or license. We do not store credit card numbers - payment data is handled entirely by Stripe.
Because OriginRound does not hold funds, we cannot issue refunds to Buyers. All refund requests must be directed to the Partner from whom you purchased the deal, subject to their specific refund policy.
OriginRound monitors transaction states via integrated payment gateways. If a purchase is refunded, charged back, or otherwise reversed - by the Partner or by your payment provider - the platform will automatically and permanently revoke your access to the associated digital asset, license, or redemption code.
Partners purchase Infrastructure Quotas (IQ) to utilise OriginRound's infrastructure. These IQ purchases are processed via our Merchant of Record, Lemon Squeezy. IQ units are consumed upon the creation of active listings.
To maintain the integrity of the platform and comply with the strict Acceptable Use Policies of our financial infrastructure partners (Stripe and Lemon Squeezy), you agree not to use the platform to distribute, sell, or facilitate the sale of the following prohibited items:
Additionally, you agree not to interfere with or bypass the platform's security mechanisms, payment infrastructure, or engage in harassing or fraudulent behavior against other users. Violation of these terms will result in immediate account suspension and the removal of all active listings.
We monitor accounts and transactions for patterns of abuse, including excessive refund requests, payment disputes, or fraudulent behaviour. To protect the platform and our Partners, we collect standard device characteristics to generate a unique, anonymised device identifier (hash) only when a purchase is initialised on the order page.
If we determine an account or device is engaging in abusive purchasing or refunding behaviour, we reserve the right to restrict that account and block future transactions from associated devices.
If your account is restricted or suspended, you will be permanently blocked from making new purchases on the platform. In cases of severe fraud or direct violation of these Terms, OriginRound reserves the right to fully terminate accounts without prior notice.
You may request deletion of your account at any time via the settings panel. Upon deletion, all personal data associated with your account will be permanently deleted or anonymised. Deleting your account will permanently revoke access to your digital assets - no refunds will be provided.
Before deleting your account, you may request a copy of your personal data by contacting us via our Contact page. We will deliver your data in JSON format within 30 days of your request. Once deleted, all personal data will be permanently removed and cannot be recovered.
Partners must own or hold the legal rights to all products they list on the platform. If you believe your copyrighted work has been listed without authorisation, please contact us at contact@originround.com.
The platform is provided on an "as is" and "as available" basis. OriginRound shall not be liable for any indirect, incidental, special, or consequential damages - including lost profits, lost revenue, or data loss - arising from your use of or inability to use the platform.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the platform after changes take effect constitutes your acceptance of the updated Terms.
